Seller Agreement
The terms under which you may sell products on the SwaziSwap platform.
This Seller Agreement ("Agreement") sets out the terms under which you ("Seller") may sell products on the SwaziSwap platform ("Platform"). By registering as a Seller, you agree to be bound by this Agreement. SwaziSwap ("we", "us", "our") operates as the Merchant of Record for all transactions and provides logistics services for order fulfilment.
Eligibility
- Sellers must be legally authorised to sell goods in the Kingdom of Eswatini.
- Sellers must provide accurate business and tax information.
- SwaziSwap reserves the right to approve or reject Seller applications at its sole discretion.
Responsibilities
- Provide accurate product descriptions, prices, and inventory levels
- Prepare items for collection within the agreed timeframe
- Comply with all applicable laws, including consumer protection, VAT, and tax regulations
- Cooperate with SwaziSwap during dispute resolution, returns, or refunds
- Maintain the quality, safety, and legality of all products offered
- Process all payments and refunds as Merchant of Record
- Provide logistics services including collection and delivery
- Monitor Seller performance and compliance
- Deduct refunds, chargebacks, or taxes from Seller payouts when necessary
Payments and Fees
Weekly Payouts
Sellers receive payouts on a weekly schedule after deductions.
Commission Deducted
Platform fees and commissions are deducted before each payout.
Refund Adjustments
Refunds or chargebacks reduce the next scheduled payout.
Banking Fees
Sellers are responsible for any banking or transfer fees on payout.
Your commission rate is determined by your seller quality score. Higher-scoring sellers earn lower commission rates, ranging from 4.0% (Gold tier) to 9.5% (At-Risk tier). Full details are available in your Seller Dashboard.
Taxes and Regulatory Compliance
- SwaziSwap will calculate, collect, and remit VAT on all transactions.
- Sellers must provide tax identification and comply with reporting requirements.
- SwaziSwap may withhold payouts if required by law or regulatory obligation.
Product Listing and Intellectual Property
- Sellers retain ownership of their products but grant SwaziSwap a licence to display product listings on the Platform.
- Sellers must not infringe on third-party intellectual property rights.
- SwaziSwap may remove listings that violate intellectual property laws or this Agreement.
Returns and Refunds
- SwaziSwap is responsible for handling all buyer returns and refunds.
- Refunded amounts are deducted from Seller payouts in accordance with the Returns & Refund Policy.
- Sellers must cooperate in investigating and resolving disputes.
Buyers may request returns within 7 calendar days of delivery. Approved refunds will be reflected in your next weekly payout.
Termination
- SwaziSwap may suspend or terminate Seller accounts for violations of this Agreement or applicable law.
- Sellers may terminate this Agreement with notice, subject to fulfilment of all pending orders.
- Termination does not relieve either party of obligations accrued prior to termination, including payment or refund obligations.
Limitation of Liability
- SwaziSwap is not liable for indirect, incidental, or consequential losses arising from Seller activity.
- SwaziSwap is not responsible for Seller product quality or compliance beyond logistics and platform oversight.
Dispute Resolution
- Sellers agree to resolve disputes with SwaziSwap in good faith.
- Final decisions regarding disputes, refunds, or platform actions rest with SwaziSwap, consistent with this Agreement.
Governing Law
- This Agreement is governed by the laws of the Kingdom of Eswatini.
- Any legal proceedings shall be subject to the jurisdiction of Eswatini courts.
Changes to Agreement
- SwaziSwap may amend this Agreement with notice to Sellers.
- Continued use of the Platform after notice constitutes acceptance of the amended terms.
